Terms and Conditions

Requests submitted through cmmcalibrationminneapolis.com, quotations issued in response to them, and the performance of CMM Calibration and related work arranged through this site are governed by the terms set out below. Either submitting a request or accepting a quotation issued in response to one is taken as acceptance of them. Precedence goes to a signed supply agreement or to agreed purchase-order terms already in place, to the extent of any conflict with these terms.

Quotations follow a review; they never precede one. The review confirms that the requirement is stated clearly and understood, that the method, range and measurement capability needed are available, and that the laboratory selected to carry out the work is competent to perform it.

Statements of conformity require the decision rule to be agreed in writing before work begins, together with the specification the item is to be assessed against. When a requirement changes after acceptance the review is repeated, and the change is confirmed to the customer before work continues. What cannot be met as specified is declined, or returned with an alternative scope — accepting it and quietly reducing it is not an option.

Quotations are issued in writing, and each remains valid for thirty (30) days from the date of issue unless the quotation states another period. The basis of the figure is the item description, quantity, measurement points, tolerances and turnaround supplied with the request.

Items do not always arrive as described. Additional channels, a wider range, damage, or a condition needing repair before measurement is possible each put work on hold while a revised quotation is issued, and the revision must be approved in writing before work proceeds.

Business days are the unit turnaround is quoted in, and the count starts at receipt of the item or receipt of written approval to proceed, whichever falls later. Expedited handling can be arranged where capacity allows, and is quoted separately. Commitments are given in good faith against current capacity; where one cannot be met, notice is given as soon as the delay is known, together with a revised date.

Two things travel with an item: packaging adequate for transit, and whatever accessories, fixtures, cables or software are needed to complete the work. Transit risk in both directions rests with the customer unless carriage has been arranged and charged on the quotation.

Where an item is unsafe, contaminated, or outside the condition accepted at review, it is returned unworked and the reason is stated. Once the collection or despatch period agreed on the quotation has passed, completed items are held at the customer's risk.

Two payment positions apply. Without a credit account approved in advance, payment is due in full before certificates and items are released. With one, invoices are payable net thirty (30) days from the date of invoice.

Taxes, duties and carriage sit outside the quoted price unless the quotation states otherwise. Overdue balances may accrue interest at the lower of one and one-half percent (1.5%) per month or the maximum permitted by law, and further work may be suspended while an account is overdue.

Issue of a certificate or report is by the laboratory that performed the work, and the document remains that laboratory's technical record. Once payment has been made in full, the customer holds an unrestricted right to keep, copy and use the certificate for its own quality, audit and regulatory purposes.

The certificate is issued as a complete document. It may be reproduced only in full, and partial reproduction requires written approval. Copies are retained for the period stated in the performing laboratory's records policy and can be reissued against the original certificate number.

Confidential treatment applies to information obtained or created in the course of a request: drawings, specifications, tolerances, measurement results and the existence of the engagement itself. The information reaches the personnel and providers who need it to complete the work, and otherwise only where disclosure is required by law or by an accreditation body exercising its rights of access. Notification of a legally required disclosure is given to the customer, unless that notification is itself prohibited.

Reasonable skill and care are applied to the work, in accordance with the methods and standards stated on the quotation and on the resulting certificate. Where work is shown to be defective, the customer elects the remedy: re-performance of the affected work, or a refund of the amount paid for it.

Total liability arising out of any engagement is limited, to the maximum extent permitted by law, to the amount paid for the work giving rise to the claim. No liability is accepted for loss of profit, loss of production, loss of contract, or any indirect or consequential loss. Liability that cannot be limited by law is not limited by anything in these terms.

The laws of Minnesota apply to these terms, without regard to conflict-of-law principles, and a claim is brought in the courts of that jurisdiction unless a different forum has been agreed in writing.
